Michael is a member of the firm's Corporate and Real Estate groups, working extensively with clients on important, sometimes vital, matters relating to their businesses. His expertise includes corporate and business transactions, finance, distribution and deployment of intellectual property. While these matters often include significant transactions, clients also rely on Michael for tackling their operational and or compliance matters, particularly where the goal is to implement improved planning and execution.
Michael’s corporate practice includes mergers and acquisitions (sell and buy side, in both investor and strategic acquisition contexts), debt and equity transactions from formation to wind-down (on company, lender and investor sides), governance, buy-sell arrangements (sometimes through multiple tiers), joint ventures and key employee matters. As part of his corporate expertise, Michael has extensive experience with logistics and supply chain matters, hedging transactions, and non-compete concerns for manufacturers, distributors, and dealers. This part of Michael’s practice often involves licensing (including for franchisors and franchisees), where clients manage and monetize their intellectual property. All of Michael's work is driven by a keen appreciation of the financial and operational impacts each transaction brings to his clients' businesses.
With respect to real estate, Michael works extensively with acquisition, financing, leasing, and sales of commercial, office, industrial and mixed use properties.
